PIF-Led Consortium Finalises Record $55bn Take-Private of EA

Saudi Arabia’s Public Investment Fund (PIF) has completed a $55 billion acquisition of Electronic Arts, taking one of the world’s largest video game publishers private in a deal described as the largest leveraged buyout in history. The transaction, executed through a consortium led by the sovereign wealth fund, closes a chapter on EA’s decades-long run as a publicly listed company and hands PIF a controlling stake in a business whose franchises reach hundreds of millions of players worldwide.

The deal’s scale places it among the most significant corporate takeovers of the past decade, surpassing previous benchmarks for debt-financed acquisitions of major listed companies. Its structure, combining PIF’s equity commitment with substantial leverage arranged through the consortium, underscores the growing willingness of sovereign capital to pursue transactions of a size once reserved for the largest private equity firms and strategic conglomerates.

With the buyout complete, PIF now holds effective control over EA’s flagship titles, including EA Sports FC (the successor to the FIFA franchise), The Sims, Apex Legends and Battlefield. These properties collectively represent one of the deepest catalogues in interactive entertainment, spanning sports simulation, live-service shooters and long-running lifestyle simulation games with large, recurring player bases across console, PC and mobile platforms.

Expanding a Gaming Portfolio Aligned With Diversification Goals

The EA acquisition builds on PIF’s existing footprint in the gaming and esports sector, where the fund has previously taken positions in other major publishers and backed competitive gaming ventures. Ownership of EA significantly deepens that exposure, giving PIF direct control over one of the industry’s largest content producers rather than a minority financial stake, and positioning the fund as one of the most influential single shareholders in global gaming.

For Saudi Arabia, the transaction fits within a broader strategy of using PIF’s balance sheet to build stakes in technology, entertainment and media assets as part of the kingdom’s push to diversify its economy away from hydrocarbons. Gaming and esports have been identified by Saudi authorities as priority growth sectors, with the country hosting international esports events and youth-focused entertainment initiatives in recent years. Full ownership of a studio behind some of the industry’s most recognisable franchises gives the kingdom a far more direct role in shaping the sector’s future direction, from title development to distribution and monetisation strategies.

The move also carries relevance for the wider Gulf region, where gaming consumption has grown rapidly alongside young, digitally engaged populations. EA’s sports and entertainment titles, particularly its football simulation franchise, carry a substantial following across the GCC, meaning the deal gives a regional sovereign investor direct commercial exposure to products already popular with local consumers. Analysts tracking Gulf investment activity have noted that funds such as PIF, along with other regional sovereign vehicles, have increasingly targeted high-value international assets in technology, sports and entertainment as part of efforts to generate returns beyond traditional oil-linked revenue streams.

The completion of the buyout also signals continued confidence among large institutional investors in leveraged, debt-financed structures for acquiring major publicly traded companies, despite a global environment of elevated borrowing costs in recent years. The consortium’s ability to assemble financing at this scale is likely to be closely studied by dealmakers assessing appetite for similarly large take-private transactions involving other technology and entertainment companies.

With the transaction now finalised, attention is expected to turn to how PIF and its partners intend to steer EA’s strategy as a private company, including decisions around future game releases, studio investment and the broader integration of the publisher into the fund’s expanding entertainment holdings.
